RAMIREZ-ARIZMENDI: I will 17 introduce myself. Luis. Clinton site manager and 18 business line rep in the Company. 19 MR. FREDRIKSEN: What is your actual 20 title now? 21 MR. RAMIREZ-ARIZMENDI: My actual 22 title is Clinton and Sarnia research operations. 23 MR. FREDRIKSEN: Clinton Sarnia 24 research operations. So what kind of 25 responsibilities do you have over the employees at Rita Gardner ~ Court Reporter ~ (908) 319-1195 3 1 my level, for example? 2 MR. RAMIREZ-ARIZMENDI: I have 3 responsibilities for all operations, and that 4 includes now, as a result of the EMTEC 5 reorganization, the Research Technicians that used 6 to report functionally into the CSR and PTD 7 organizations now report into the operations 8 organization. 9 MR. FREDRIKSEN: That is right. It is 10 quite a lot of technicians under you now, right? 11 MR. RAMIREZ-ARIZMENDI: Yes. 12 MR. FREDRIKSEN: Well, I hope you were 13 caught up to speed on bargaining up to this date. 14 You guys had a lot of time since our last session. 15 Just as a refresher, since 2018, when 16 we went without a contract, employee disposition 17 towards management, towards the process, has been 18 rather sour as a direct result of what is happening 19 at this table. Things have only gotten worse since 20 then. 21 The things here at this table matter. 22 Our non-represented coworkers care about this 23 process too. We have had no raise for five years. 24 Five years. That is a long time. There is no way 25 to spin that. There is no way you can spin that in Rita Gardner ~ Court Reporter ~ (908) 319-1195 4 1 your favor or anything like that. 2 People want to see something different. 3 People want to see that things are going to get 4 better. They want to see that there is a plan for 5 this place. People want to see that there is a 6 reason to stay. We lost 17 research technicians 7 since the last time we met in March. That is a lot 8 of people. That is a lot of people. 9 No matter what Linda DuCharme says in 10 her e-mails or messages or forums about change in 11 the culture for a positive; here at Exxon, it is not 12 going to ring true to anyone until they see action, 13 real action taken. Starting at this table would be 14 a really good place to start, because this is where 15 things started to get really bad for the employees. 16 So, I hope that you are planning on 17 taking real steps towards getting this contract. 18 You guys have had a lot of time and you have some 19 new faces on your team. 20 Do you have any new changes that you 21 would like to present to your proposals? 22 MR. BRYANT: No, we do not. We 23 understand the Union has a proposal. 24 MR. FREDRIKSEN: Is that right? 25 MR. BRYANT: That is what you said in Rita Gardner ~ Court Reporter ~ (908) 319-1195 5 1 your e-mail, Tom. 2 MR. FREDRIKSEN: I am sorry. I 3 thought you were speaking more specifically. 4 All right. Is there anything anybody 5 else would like to say? Do you have any response 6 for all that? 7 MR. BRYANT: I mean, Tom, I think the 8 Company understands the viewpoint that you stated 9 and recognizes, yes, that people have left the 10 Company, and we don't ever like to see that. But, 11 you know, that is not just among the represented 12 folks. That is amongst all the folks at the site we 13 have seen that. 14 The job market is quite hot, and people 15 are making decisions about what they want to do 16 about their future. So, I understand the Union's 17 position. I really don't have anything else to say 18 about it. 19 MR. FREDRIKSEN: Back when I got 20 hired, Exxon was the hottest job. There was no hot 21 job market, because Exxon's job was the hottest. If 22 you got a job offer here, there was no plan to look 23 for something better. Now people get hired, and 24 they immediately start looking for work. What is 25 the difference? Why is that the case? Why do you Rita Gardner ~ Court Reporter ~ (908) 319-1195 6 1 think that is the case? 2 MR. BRYANT: I mean, we recently had 3 made offers to Research Techs -- candidates for 4 research tech positions and they have accepted. So, 5 again, people are -- we are able for hire people. 6 Again, people choose to leave for a number of 7 reasons. 8 MR. FREDRIKSEN: Are those employees 9 or contractors? 10 MR. BRYANT: No, they will be 11 employees. 12 MR. FREDRIKSEN: Can I have their 13 names, please? When were these offers extended? 14 MR. BRYANT: I can get that for you. 15 I don't have it in front of me, but I can send it to 16 you. 17 MR. FREDRIKSEN: Have they started 18 yet? 19 MR. BRYANT: No, they have not. They 20 are still going through the background check 21 process. 22 MR. FREDRIKSEN: How many people is 23 this? 24 MR. BRYANT: Four. 25 MR. FREDRIKSEN: Four people. FREDRIKSEN: I didn't see any that 12 were posted internally, any open positions that were 13 posted to any of the bulletin boards, but we can 14 talk about that later. That is very interesting. 15 Sorry, when did you say this happened? 16 MR. BRYANT: Which part? 17 MR. FREDRIKSEN: When did they get 18 hired? Like, when did the applications go out? 19 When did they accept? When was this? When was the 20 time frame? 21 MR. BRYANT: It was probably about a 22 week ago or so. CARPENTER: You said the postings 2 were made months ago, as in plural months? 3 MR. BRYANT: That is my understanding. 4 They started the process to collect, to start 5 getting resumes into the system, that is correct. 6 MR. FREDRIKSEN: That is interesting. 7 Just to refresh you, the last time we hired a 8 research tech, aside from this, was January 2, 2020. 9 MR. BRYANT: That is correct. That 10 is what I recall. 11 MR. FREDRIKSEN: It has been a long 12 time. Still been a long time. Since then, we lost 13 a lot of people. If I recall correctly, it is over 14 40 people. So, I mean, four is a start. 15 Do you have a plan to recover that kind 16 of gravity of loss? Is that the plan? 17 MR. BRYANT: I think the Company, 18 again, is continuing to evaluate its needs. I mean, 19 there is a lot of activity going on in terms of 20 trying to determine what the priorities are going to 21 be and when that becomes, you know, more complete, 22 that picture, I think there will be decisions on 23 what to do in terms of is there going to be 24 additional hiring or whatever. 25 MR. FREDRIKSEN: My understanding is Rita Gardner ~ Court Reporter ~ (908) 319-1195 9 1 you also have two new contractors that started or 2 are starting. Do you have more coming? 3 MR. BRYANT: I think I understand 4 there may be one for research tech. 5 MR. FREDRIKSEN: So three contractors? 6 MR. BRYANT: That is my understanding. 7 MR. FREDRIKSEN: Is there a plan for 8 them, how long they are going to stay? 9 MR. BRYANT: My understanding is they 10 will all be gone by the end of 2023, but I will 11 confirm that. 12 MR. FREDRIKSEN: That is good. That 13 was painless, right, telling us the plan? 14 MR. BRYANT: Sure. 15 MR. FREDRIKSEN: We have had proposals 16 in the past about contractors, where we just have a 17 discussion like this, and the Company rejected those 18 as well, but that is neither here nor there. 19 We do have a proposal to make today. 20 MR. BRYANT: All right. 21 MR. FREDRIKSEN: I am going to send it 22 right over and then we can go through it. 23 It is on its way. Let me know when you 24 got it. I will also share it on my screen. 25 MR. BRYANT: Perfect. We have got Rita Gardner ~ Court Reporter ~ (908) 319-1195 10 1 it. 2 MR. FREDRIKSEN: We have a 3 comprehensive counterproposal which changes on 4 almost all items. So I would like to go through it 5 step by step, including things we have covered 6 before, just to bring everyone up to speed. 7 MR. BRYANT: Okay. 8 MR. FREDRIKSEN: First page, 9 discontinue United Way Day off in conjunction with 10 an agreement. That hasn't changed in a long time. 11 C1, dated March 14, 2019, also hasn't 12 changed for a very long time. 13 C5, Company accepts Union counter dated 14 April 9, 2019. This is about the Auto Mechanics 15 position. This is about their job titles, job 16 description and their position on the promotional 17 chart. So, no changes there. 18 C2. You know what, I am going to come 19 back to C2 because that is a big one. 20 Savings plan, no change from our last 21 time, which is where we dropped the side agreement. 22 Just have no change. 23 Paid Parental Time Off. We have a 24 change. We dropped the proposal on moving up to a 25 parity of benefits, despite what you call it. It is Rita Gardner ~ Court Reporter ~ (908) 319-1195 11 1 disappointing that we felt we had to do that because 2 language that the Company has used has only 3 reflected that you wanted to treat us the same. So 4 that is telling that that didn't work out. 5 Next section. We changed the name of 6 the Educational Refund Program in the proposal to 7 the Tuition Assistance Program. That is my 8 understanding of what the title is of that program 9 now. 10 MR. BRYANT: That is correct, Tom. 11 MR. FREDRIKSEN: So that just reflects 12 the change in title. 13 MR. BRYANT: All right. 14 MR. FREDRIKSEN: "No acceptance of 15 language". That makes no sense in a contract moving 16 forward. So we crossed out "Educational Refund 17 Program is suspended" because the Company told us 18 they do not want to suspend it again when we sign a 19 contract. 20 Do you understand that? 21 MR. BRYANT: I think we talked about 22 that before. That is the Union's position on that. 23 So, no, I understand what you are saying. 24 MR. CARPENTER: All we are saying is 25 we are not suspending it going forward. Rita Gardner ~ Court Reporter ~ (908) 319-1195 12 1 MR. FREDRIKSEN: That is right. 2 U-10. Wages. This is a lot of change 3 here. We are moving to a five-year contract. This 4 is quite the change from our previous proposals. 5 This is in recognition of the fact that this has 6 been a difficult process for both parties. And we 7 would like to make movement towards a longer-term 8 settlement. 9 First year, you are going to notice is 10 very high. 20.88 percent. It seems high, but it is 11 actually zero, because that is what inflation was 12 since the last time we got a raise in 2017. 20.88 13 percent is inflation since 2017. So this just 14 brings us to a break-even point. This isn't an 15 increase in our buying power. That is why it is a 16 large number. That is how much recovery Exxon needs 17 to do to get us to a point where we feel that our 18 pay has not been cut by this process. 19 Do you understand that? 20 MR. BRYANT: I understand that you 21 are using inflation as a reference point for that. 22 MR. FREDRIKSEN: So you understand 23 that if you don't get a wage increase that matches 24 or exceeds inflation, you are effectively getting a 25 cut to your wages? Rita Gardner ~ Court Reporter ~ (908) 319-1195 13 1 MR. CARPENTER: Negative wage growth 2 would be the correct term. 3 MR. FREDRIKSEN: You understand that? 4 MR. BRYANT: Yes. That is one way to 5 -- that is part of inflation that everybody in the 6 economy, their buying power goes down. That is what 7 inflation results. 8 MR. FREDRIKSEN: Good. We have an 9 understanding there. 10 MR. FREDRIKSEN: And then it is just 11 two percent in the remaining four years of the 12 contract. 13 MR. CARPENTER: Which I will note that 14 the projections for inflation do not appear to be 15 going down. So those increases would be 16 significantly below inflation on each of those 17 years. 18 MR. FREDRIKSEN: That is right. 19 So last time we had met, we locked in a 20 change to the recognized holiday. We felt pretty 21 good that we had come to an agreement. We struck 22 out portions and highlighted portions, to show that 23 we are in agreement, which has been part of our 24 process since the beginning. 25 MR. BRYANT: Right. Rita Gardner ~ Court Reporter ~ (908) 319-1195 14 1 MR. FREDRIKSEN: So it is 2 disappointing to see after we made pretty 3 significant movement after a very long time, the 4 Company declared impasse again. 5 MR. BRYANT: I understand that that 6 is the Union's view. 7 MR. FREDRIKSEN: That is what 8 happened, Josh. That is what happened. It is not a 9 view. There is no perspective here. It is what 10 happened. 11 MR. BRYANT: Okay. 12 MR. FREDRIKSEN: So, we struck out 13 LPS. We see no sign the Company is willing to 14 negotiate over that. So we dropped our proposal. 15 No change. 16 MR. BRYANT: Okay. 17 MR. FREDRIKSEN: Any questions so far? 18 MR. BRYANT: Not yet. 19 MR. FREDRIKSEN: C2. 20 This is a big one. This is not 21 something we need to do, but we are doing it because 22 we are serious about getting a contract. I am 23 loathed to have to do this, because I thought it was 24 absolutely just -- frankly, it was childish that we 25 couldn't make this change. So we dropped the change Rita Gardner ~ Court Reporter ~ (908) 319-1195 15 1 to the language in the first paragraph that was 2 really just the correction of the kind of 3 nonsensical phrasing that is there. So this is just 4 the first paragraph, the Company's paragraph. There 5 is no change there. 6 MR. BRYANT: Okay. 7 MR. FREDRIKSEN: The second paragraph: 8 "The Company has the right to have work 9 performed offsite by third parties. If work 10 customarily performed by Bargaining Unit employees 11 is out-sourced in this manner, it shall not be used 12 under any circumstances to create a surplus of 13 employees, thereby leading to a reduction of hours, 14 layoff, demotion, or backdown of existing employees 15 that are qualified to perform such work." 16 "In the event the equipment required to 17 perform such work is no longer available, the 18 employee may be reassigned to any position they are 19 qualified for and shall suffer no loss of pay. 20 Contractors occupying any position for which the 21 employee is qualified will be removed if no other 22 position is available." 23 No change to the next two paragraphs. 24 Last paragraph, another major change: 25 "Any arbitrator ruling on the permanent Rita Gardner ~ Court Reporter ~ (908) 319-1195 16 1 contracting of the positions listed in this side 2 letter shall not consider arbitration awards prior 3 to June 1, 2022. Custom prior practices, industry 4 standards, or any other provisions of the CBA." 5 I am going to come right out and say 6 it. The Company's position has been, without being 7 explicit, despite me trying to get you to explain 8 your proposal in plain words, that you wanted to 9 erase Arbitrator Klein's decision. Arbitrator 10 Klein's decision says that you must cease and desist 11 from the permanent contracting of Union-represented 12 positions. 13 This proposal, C2, proposes to allow 14 you to permanently contract out the positions you 15 want to permanently contract out. 16 So, really, the arbitrator ruling 17 paragraph isn't necessary, because that is what this 18 proposal is doing. It is allowing you to 19 permanently contract out, as long as we have an 20 agreement on the proposal. 21 But, because we have made no progress 22 on the arbitrator ruling paragraph either, we are 23 also making a move to try to get that more clear and 24 to actually reflect the proposal. 25 You have always made it a point to say Rita Gardner ~ Court Reporter ~ (908) 319-1195 17 1 that this has to be something that is understandable 2 in all four corners of the proposal itself. So that 3 was the idea. 4 MR. BRYANT: Okay. 5 MR. FREDRIKSEN: Do you have any 6 questions? 7 MR. BRYANT: No. Thank you. I mean, 8 you have obviously given us a lot to consider. And, 9 you know, we do recognize the changes and appreciate 10 that. 11 MR. FREDRIKSEN: A lot of people are 12 looking towards this session with a lot of hope, 13 Josh. A lot of people know Luis from the work he 14 has done here. People want to see that this is 15 going to be different. We really hope you seriously 16 consider this, because if you come back to the table 17 and you just say no to everything, it is going to 18 say a lot to the employees, and it is probably not 19 the message you want to send. This is the one 20 chance you have to make a huge positive impression 21 on all of the employees on site, to show that this 22 is done and this is behind us. So I really hope 23 that you consider this proposal seriously. 24 MR. BRYANT: We will definitely 25 seriously consider the proposal. CARPENTER: While you are 13 considering the proposal, I would really appreciate 14 if you could consider, whatever you are going to say 15 to us, to be constructive and in the vein of 16 reaching an agreement. And if there is something 17 that you don't like, that you explain what you don't 18 like, actually explain what you don't like. 19 I will be honest, and I have read all 20 70 of the transcripts in this thing. It is a lot. 21 It is thousands of pages. And there are times when 22 you guys come back and you say no and you put your 23 proposal back on the table and you don't explain 24 anything. And it is really, really frustrating to 25 read those words. Rita Gardner ~ Court Reporter ~ (908) 319-1195 19 1 So, whatever you do -- it would be 2 great if you accept it. Whatever you do, I hope 3 that we can have a discussion about the words that 4 are actually on the page and what actually needs to 5 occur. 6 MR. BRYANT: Thank you, Don. Again, we appreciate the 16 Union's proposal and recognize the movement that the 17 Union made. And I just want to say thank you for 18 that. 19 Again, we recognize, like I said, the 20 movement. And some of the changes do address the 21 issues that have been out there. You know, we do 22 have some questions about the proposal. 23 Can we just take a few minutes and go 24 through that? That would be helpful. 25 MR. FREDRIKSEN: Sure. Rita Gardner ~ Court Reporter ~ (908) 319-1195 20 1 MR. BRYANT: Walking through the 2 proposal from top to bottom, as you mentioned, Tom, 3 we acknowledge that you all agreed to the C1 and 4 United Way Day off and Auto Technician. 5 And then in C2, I know, looking at the 6 proposal, the reference to the temporary contracting 7 and arbitrator ruling paragraph was removed. 8 Can you just clarify what the Union's 9 intent -- just to make sure that we understand. 10 That is really the question around the temporary 11 being removed there. 12 MR. FREDRIKSEN: What did I remove? 13 MR. BRYANT: In terms of focus on the 14 permanent versus the temporary, what is the Union's 15 intent with that? 16 MR. FREDRIKSEN: The Union's intent 17 was to make it clear what the purpose of the side 18 letter is. You have -- we have an outstanding -- 19 not an outstanding, we have an arbitration that 20 changed -- the reason why this ever happened, Josh, 21 was because the Union won Arbitrator Klein's 22 decision. 23 The proposal on contracting was for the 24 notification dollar amount to be moved into the 25 contract. You only ever introduced any proposal Rita Gardner ~ Court Reporter ~ (908) 319-1195 21 1 ever because of Arbitrator Klein's decision. And 2 Arbitrator Klein's decision said you can't 3 permanently contract out Union's positions. 4 So we have a permissive language in 5 here about which positions you want to permanently 6 contract out. We are just speaking to reality, 7 which is the reality of which arbitration you really 8 want. 9 MR. BRYANT: But no objection to the 10 temporary -- the Company's use of temporary 11 contractors? 12 MR. FREDRIKSEN: The Company has 13 language in this proposal about how it is going to 14 use temporary contractors already, right? "The 15 Company may, across all..." 16 I will be frank with you. I was going 17 through -- to make this proposal, there were like -- 18 I had like ten of these proposals open to try to 19 figure out which one was your language and which one 20 was our language that we had in there and 21 highlighted and crossed out and that was not my 22 intention to do that. 23 MR. BRYANT: Tom, that is what I 24 thought. It was a simple oversight. I did not 25 think that you were intentionally trying for leave Rita Gardner ~ Court Reporter ~ (908) 319-1195 22 1 it out. I just wanted to ask the question to 2 clarify. Thank you. 3 And then I noticed that in terms of the 4 June 1, 2022, any significance to that date? 5 MR. FREDRIKSEN: Actually, not really. 6 I mean, we haven't had any arbitrations since -- 7 obviously since before contract started. 8 Sorry. Sorry. There is significance. 9 I am wrong. We had some dialogue a few sessions ago 10 about which arbitration awards -- about how the 11 language didn't make any sense, because it would be 12 an always -- so this would be a document that would 13 be in place that constantly is always erasing 14 arbitrations going back to the past. Remember, I 15 talked about things being re-arbitrated? 16 MR. BRYANT: Yes. 17 MR. FREDRIKSEN: And then you told me 18 that your intention was only for the ones prior to 19 the signing of this deal. Right? 20 MR. BRYANT: Yes. 21 MR. FREDRIKSEN: I picked June 1 22 because that is when the contract typically ended. 23 So that is the only reason I did June 1. 24 MR. CARPENTER: So I guess the point 25 would be, the significance of this is not extreme, Rita Gardner ~ Court Reporter ~ (908) 319-1195 23 1 unless the Company's desire is that for no 2 arbitration going forward to count. Then it would 3 be significant. 4 MR. BRYANT: No. That is not our 5 intent. I just wanted to understand -- 6 MR. CARPENTER: Otherwise, we are just 7 making clear the discussion that was had that this 8 is about past ones. 9 MR. BRYANT: Perfect. All right. 10 In terms of Savings Plan, I know the 11 language was crossed out. Just a quick question. 12 So, in terms of when the Savings Plan Match was 13 suspended on October 1, 2020, and then reinstated on 14 October 1, 2021, by striking this out, is the Union 15 agreeing to that suspension or -- I just want to 16 understand the Union's intent. That is all. 17 MR. FREDRIKSEN: Their intention is 18 not to agree to retroactively have that thing 19 suspended, no. 20 MR. CARPENTER: Is this a settlement 21 of a ULP? No. 22 MR. You acknowledge 5 that the Company accepted the Union's proposal 6 there. 7 With the Tuition Assistance Program, 8 what was Ed. Refund, yes, I agree that the name 9 should be updated. Then I see that the -- it is 10 kind of a similar question about the Ed. program 11 being suspended. That was crossed out. 12 MR. FREDRIKSEN: That is part of the 13 same basket of goods there. 14 MR.
